SEC Authority Over Climate-Related Disclosures for Investors

This past March, the SEC issued a proposed rule which, if adopted, would mandate substantial climate-related disclosures by public companies. The proposed rule – a big part of the SEC’s ESG program – sets out what is arguably the most expansive new disclosure regime in decades. In my latest article for Bloomberg, “SEC Authority Over Climate-Related Disclosures for Investors,” I discuss whether the SEC has the authority to adopt the proposed rule and, in particular, whether Congress has authorized the SEC to compel disclosure of greenhouse gas emissions data.
